SECTION 21 - SMS/MMS MOBILE MESSAGE MARKETING PROGRAM TERMS AND CONDITIONS

sofsy (hereinafter, "We," "Us," "Our") offers a mobile messaging program (the “Program”) subject to these Mobile Messaging Terms and Conditions and our Privacy Policy (the “Agreement”). By opting in or participating in any of our Programs, you agree to these terms and conditions, including your agreement to resolve disputes with us through binding, individual-only arbitration as detailed in the “Dispute Resolution” section below. This Agreement applies exclusively to the Program and does not modify other Terms of Service or Privacy Policy that govern our relationship in other contexts.

User Opt-In:

The Program allows Users to receive SMS/MMS mobile messages by opting in, such as through online or app-based enrollment forms. Regardless of the opt-in method, you agree that this Agreement applies to your participation in the Program. By participating, you consent to receive autodialed or prerecorded marketing messages at the phone number associated with your opt-in. Consent is not required to make any purchase. While you consent to receive autodialed messages, it does not imply that all mobile messages are sent using an automatic telephone dialing system (“ATDS” or “autodialer”). Message and data rates may apply.

User Opt-Out:

If you wish to stop participating in the Program, reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any mobile message from Us. You may receive a confirmation message after opting out. The listed keywords are the only valid ways to opt out. Any other method, including texting words other than those specified or verbally requesting removal, is not considered valid.

Duty to Notify and Indemnify:

If you plan to stop using the phone number used for the Program (e.g., canceling your service plan, selling, or transferring the number), you agree to complete the User Opt-Out process before discontinuing use of the phone number. You understand that your agreement to this process is essential to these terms. Failure to notify us of such changes could result in your responsibility for all costs and liabilities, including attorneys' fees, incurred due to any third-party claims. This duty to notify and indemnify survives the termination of your participation in the Program.

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD US HARMLESS FROM ANY CLAIM OR LIABILITY ARISING FROM YOUR FAILURE TO NOTIFY US OF A CHANGE IN YOUR PROVIDED INFORMATION, INCLUDING ANY CLAIMS UNDER THE TELEPHONE CONSUMER PROTECTION ACT, 47 U.S.C. § 227, OR SIMILAR STATE AND FEDERAL LAWS.

Program Description:

The Program may include messages related to the marketing and sale of digital and physical products, services, and events.

Cost and Frequency:

Message and data rates may apply. The Program involves recurring messages, with additional messages sent based on your interactions with Us.

Support Instructions:

For support, text "HELP" to the number you received messages from, or email us at concierge@sofsy.com. Note that email is not a valid method for opting out of the Program; opt-out requests must follow the procedures outlined above.

MMS Disclosure:

If your mobile device does not support MMS, the Program will send SMS TMs (terminating messages).

Disclaimer of Warranty:

The Program is provided "as-is" and "as available" and may not be available in all areas or at all times. We are not liable for delays or failures in message delivery, which are subject to effective transmission from your wireless service provider. T-Mobile is not liable for delayed or undelivered mobile messages.

Participant Requirements:

You must have a wireless device with two-way messaging, a participating wireless carrier, and an active text messaging plan. Not all carriers support participation.

Age Restriction:

You may not use or engage with the Program if you are under 13 years of age. If you are between 13 and 18, you must have your parent’s or guardian’s permission. By engaging with the Program, you confirm that you meet these age requirements and are permitted by law to use the Platform.

Prohibited Content:

You agree not to send any prohibited content, including but not limited to:

  • Fraudulent, defamatory, or threatening activity;
  • Objectionable content, including profanity, obscenity, and discrimination;
  • Pirated software or harmful code;
  • Unlawful products, services, or promotions;
  • Content referencing personal health information protected under HIPAA;
  • Any other content prohibited by law.

Dispute Resolution:

Disputes arising from the Program will be resolved through binding arbitration in Los Angeles, California, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). The arbitrator’s decision is final and binding, and each party shall bear its own costs unless otherwise ordered. Class arbitration is not permitted. If a dispute proceeds in court, both parties waive the right to a jury trial. This arbitration agreement survives the termination of your participation in the Program.

Miscellaneous:

You represent that you have all necessary rights to agree to these terms. If any provision is deemed invalid, the remainder of the Agreement remains in force. Any updates to this Agreement will be communicated to you, and by continuing to participate, you accept the modified Agreement.
